Terms and conditions

These terms apply to work carried out by InSearchLabs Ltd. They sit alongside the written scope for your engagement — where the two differ, the scope wins, because it is the document that describes what we actually agreed.

How work is agreed

Nothing starts without a written scope. It sets out what is included, what is not, what the work is meant to change, and the commercial terms. Fees, payment schedules and any ongoing licensing or support are agreed there and not on this website — which is why you will not find prices here.

What you own

On completion and settlement of our invoices, you own what we build for you: source code, written specifications, domains, hosting and third-party accounts, registered in your name. Where we use open-source components or third-party services, those remain under their own licences and terms, and we will tell you which ones before they are introduced.

Your data

Wherever an engagement allows it, your data stays in your own systems and accounts and we do not hold a copy. Where a step genuinely requires a third-party service, we name it and say what it processes before it is agreed. Our privacy policy covers how we handle personal data, and where we act as a processor for you that is set out in the engagement documents.

Your responsibilities

We rely on the access, information and decisions you give us. Credentials are issued by you rather than held by us, so you can withdraw our access at any time. Timelines assume we get reasonable responses when we ask for them.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Beyond that, our liability in connection with an engagement is limited to the fees paid for it, and we are not liable for indirect or consequential loss.

Ending an engagement

Either of us may end an engagement in writing. You pay for work completed and committed up to that point, and we hand over everything produced so far in a form another developer could pick up.

Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
